This policy is framed under Section 135 of the Companies Act, 2013 and the CSR Rules, 2014. CursorDrive is committed to sustainable development and positive social impact beyond profit.

Section 01 Statutory

Preamble

This Corporate Social Responsibility Policy ("CSR Policy") of CursorDrive has been framed in accordance with the provisions of:

  • Section 135 of the Companies Act, 2013
  • Companies (CSR Policy) Rules, 2014 — notified on 27th February 2014
  • General Circular No. 21/2014 dated 18th June 2014 issued by the Ministry of Corporate Affairs (MCA), Government of India

The Policy sets out the Company's approach towards undertaking CSR activities and ensuring compliance with applicable statutory requirements.

Section 02

Philosophy

CursorDrive believes in conducting business in a responsible manner and contributing to sustainable economic development while improving the quality of life of the workforce, local community, and society at large.

Section 03

Definitions

Unless the context otherwise requires, the following definitions apply:

  • "Act" means the Companies Act, 2013
  • "CSR" means Corporate Social Responsibility as defined under Section 135
  • "CSR Activities" means activities as specified in Schedule VII of the Act
  • "CSR Committee" means the committee constituted under Section 135 of the Act
Section 04 Statutory Thresholds

Applicability

This Policy shall be applicable to CursorDrive upon meeting any one of the criteria prescribed under Section 135(1) of the Act:

Until such thresholds are met, the Company may voluntarily undertake CSR initiatives as an expression of its commitment to social responsibility.
Section 05

CSR Objectives

The objectives of this CSR Policy are:

  • To align business operations with social and environmental responsibilities
  • To undertake initiatives that contribute to sustainable development
  • To create measurable positive impact on society and communities
Section 06 Schedule VII

CSR Activities

The Company shall undertake CSR activities in areas specified under Schedule VII of the Companies Act, 2013, including but not limited to:

📋 Interpretation of CSR activities shall be in accordance with MCA Circular dated 18th June 2014.
Section 07 Governance

CSR Committee

If applicable, the Board shall constitute a CSR Committee as per Section 135 of the Act. The CSR Committee shall:

  • Formulate and recommend the CSR Policy to the Board
  • Recommend the amount of CSR expenditure for each financial year
  • Monitor implementation of CSR projects and activities
Section 08 Statutory

CSR Expenditure

The Company shall:

  • Spend at least 2% of the average net profits of the preceding three financial years on CSR activities (if applicable)
  • Ensure compliance with provisions relating to unspent CSR amounts as per the Act

CSR expenditure shall not include:

  • Activities undertaken in the normal course of business
  • Activities benefiting only employees and their families
  • Contributions to political parties

CSR activities may be implemented through any of the following mechanisms:

Section 10

Monitoring & Reporting

  • The CSR Committee shall monitor CSR projects periodically
  • The Board shall disclose CSR activities in its annual report as required under the Act
  • Proper documentation and reporting mechanisms shall be maintained at all times
Section 11

Amendments

The Board of Directors may amend this CSR Policy from time to time in accordance with applicable laws and regulations of India. Any amendments shall be disclosed as required under the Act.

Section 12 Legal

Governing Law

This Policy shall be governed by and interpreted in accordance with the laws of India, including the Companies Act, 2013 and rules made thereunder.
